Terms of Service & Software License
These terms govern the licensing, installation, deployment, and support of all software applications, weighbridge automation solutions, CCTV ANPR systems, and hardware integrations provided by HKDesk Automation Pvt. Ltd.
1. Acceptance of Terms & Scope
By purchasing, downloading, installing, or executing any software application, patch update, or firmware supplied by HKDesk Automation Pvt. Ltd.("HKDesk"), or by engaging HKDesk for turnkey industrial automation services, your organization ("Licensee" or "Client") agrees to be bound by this legally binding agreement.
These terms apply to all HKDesk product lines including Desktop Weighbridge Software, Server-Client Weighbridge Solutions, Unmanned RFID Systems, ANPR Axle Weighing, CCTV Integration Modules, Vision OCR Applications, and .NET SCADA solutions.
2. Software Licensing & Hardlock Rules
A. Scope of License
HKDesk grants the Licensee a non-exclusive, non-transferable, limited license to run the software on designated computer hardware (terminals/nodes) as specified in the commercial purchase invoice.
B. Hardware Dongle & Machine ID Binding
HKDesk software utilizes USB hardware dongles (Hardlocks) or Machine ID cryptographic bindings (motherboard/CPU/MAC pairing). License keys are strictly locked to authorized hardware:
- Single Terminal / Multi-User Network License
- Strict Prohibition on Reverse Engineering
- Dongle Replacement Fee Applies if Lost
- No Illegal Duplication or DLL Injection
3. Hardware & Site Prerequisites
To ensure 100% operational uptime for unmanned weighbridges and automated plant systems, the Client is responsible for maintaining the following site environment:
- Compatible weighing indicators with RS232/RS485 serial communication outputs
- Clean, uninterruptible power supply (Online UPS with earthing < 2V ground neutral)
- Standard PC hardware running Windows 10/11 Pro (64-bit) with dedicated serial ports or FTDI converters
- IP Cameras supporting standard RTSP / ONVIF streams for CCTV ANPR capture
- Protective enclosure for industrial outdoor RFID readers, barrier gates, and sensors
4. Intellectual Property Rights
All software source code, proprietary algorithms, database schemas, user interface designs, logos, and technical documentation remain the exclusive intellectual property of HKDesk Automation Pvt. Ltd.
The Licensee receives operational usage rights only. Decompiling, disassembling, modifying, or creating derivative software based on HKDesk intellectual property is strictly prohibited and subject to legal action under Indian copyright laws.

6. Limitation of Liability
In no event shall HKDesk Automation Pvt. Ltd., its directors, engineers, or suppliers be held liable for indirect, incidental, special, or consequential damages (including operational downtime, lost weighments, inaccurate material billing, or hardware damage) arising out of the use or inability to use our software or automated control systems.
HKDesk's aggregate liability under any contract or claim shall not exceed the actual software license fees paid by the client to HKDesk for the specific software module during the preceding 12 months.
7. Legal Metrology Compliance
Weighbridge software reads weight digits supplied directly by the digital weighing indicator. The Client is solely responsible for ensuring physical load cell calibration, indicator stamping, and compliance with the Legal Metrology Act / Department of Weights & Measures (Govt. of India). HKDesk software does not alter raw weight measurements received from certified indicators.
8. Governing Law & Jurisdiction
This agreement shall be governed by and construed in accordance with the laws of the Republic of India. Any disputes or claims arising out of or in connection with these terms or software licensing shall be subject to the exclusive jurisdiction of the competent courts in Ahmedabad, Gujarat, India.
